1. Acceptance of terms
By accessing or using Reputafy, you confirm that (a) you have the authority to bind the Customer, (b) the person creating the account is at least 18 years of age, and (c) you accept these Terms, the Privacy Policy, the Acceptable Use Policy, and the Data Processing Addendum where applicable. If you do not agree, do not use the Service.
2. Definitions
- User — an individual authorized by Customer to access the Service through a Customer account.
- Customer — the legal entity that subscribes to the Service.
- Subscription — the right to use the Service for the term and within the limits set out in the order form.
- Connected Account — a third-party platform account (for example Google Business Profile, TripAdvisor, Trustpilot, Yelp, Facebook, Booking.com) that Customer authorizes Reputafy to access via OAuth, API key, or other credentials.
- Review Data— review content, ratings, replies, posts, Q&A and related metadata ingested from Connected Accounts.
- Personal Data — has the meaning given in the GDPR and equivalent privacy laws.
- Service — the Reputafy software-as-a-service platform, including the website, the application, the APIs, and related documentation.
3. Account registration and eligibility
Reputafy is a B2B service. To register, the User must (a) be at least 18 years old, (b) act on behalf of a legal entity, and (c) be authorized to bind that entity. Customer is responsible for keeping account credentials confidential and for the acts of all Users on its account.
4. Subscription, billing, auto-renewal and refunds
Subscriptions are billed in advance for the period stated in the order form (typically 12 months). Fees are exclusive of taxes. Unless otherwise stated, Subscriptions renew automatically for successive periods of the same length unless Customer cancels at least 30 days before the renewal date.
Refund policy: new Customers may request a full refund within 30 days of initial purchase if the Service does not fit their workflow. After 30 days, Subscriptions are non-refundable but Customer may choose not to renew.
5. License grant and acceptable use
Subject to these Terms and timely payment of fees, Reputafy grants Customer a non-exclusive, non-transferable, non-sublicensable right to use the Service during the Subscription term. Customer must comply with the Acceptable Use Policy.
6. Third-party platforms and Connected Accounts
Reputafy connects to third-party platforms including Google Business Profile, TripAdvisor, Trustpilot, Yelp, Facebook, and others on the Customer's behalf using OAuth or API credentials provided by the Customer. The Customer is solely responsible for complying with the terms of service of each connected platform, including the Google Business Profile API Terms of Service and the Google API Services User Data Policy.
Reputafy is not affiliated with, endorsed by, or sponsored by any connected platform. Reputafy may add, remove, or modify support for a connected platform at any time if required to comply with that platform's terms.
7. Customer data ownership
As between the parties, Customer owns all rights, title and interest in Customer Content, including Review Data. Customer grants Reputafy a limited right to host, process, transmit and display Customer Content solely to provide and improve the Service in accordance with these Terms and the Data Processing Addendum.
8. Confidentiality
Each party will protect the other's Confidential Information with at least the same degree of care it uses to protect its own, and not less than a reasonable degree of care. Confidential Information may be disclosed only as necessary to perform under these Terms or as required by law.
9. Intellectual property
Reputafy and its licensors retain all right, title and interest in and to the Service, including all software, designs, marks, and documentation. Feedback you provide may be used by Reputafy without restriction.
10. Warranties and disclaimers
Reputafy warrants that it will provide the Service with reasonable care and skill and in line with the documented service levels. Except as expressly stated, the Service is provided "as is" and Reputafy disclaims all other warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
Except for breaches of confidentiality, indemnification obligations, infringement of intellectual property, or amounts due for use of the Service, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of revenue, profits, business, or data. Each party's aggregate liability under these Terms will not exceed the fees paid or payable by Customer in the 12 months preceding the claim.
12. Indemnification
12.1 By Reputafy
Reputafy will defend Customer against any third-party claim alleging that the Service, used as permitted under these Terms, infringes that third party's intellectual property rights, and pay damages finally awarded by a court of competent jurisdiction, on condition that Customer promptly notifies Reputafy, gives Reputafy sole control of the defense, and provides reasonable cooperation.
12.2 By Customer
Customer will defend Reputafy against any third-party claim arising from (a) Customer Content, (b) Customer's breach of these Terms or the Acceptable Use Policy, or (c) Customer's use of the Service in violation of any connected platform's terms of service.
13. Term and termination
These Terms remain in effect for the duration of the Subscription. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. On termination, Customer may export Customer Content via CSV or JSON for up to 30 days; after that, Reputafy will delete production data within 30 days and backup data within 90 days.
14. Modifications to the Service and Terms
We may modify these Terms or the Service from time to time. Material changes will be notified to Customer administrators by email at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that VelocityNet may seek injunctive relief in any competent forum.
